OLA-Fresh Capital, a New Promoter Pledge

BUSINESS · TECHNOLOGY · CORPORATE

Ola Electric raised ₹780 crore through a QIP in June and its board approved a rights issue of up to ₹1,000 crore in September. The latest promoter pledge is tied to Bhavish Aggarwal’s subscription to that issue. Meanwhile, the company’s market share and revenue are well below earlier levels, even as quarterly deliveries improved sequentially.

Ola Electric’s latest funding plan brings together three different transactions: institutional equity raised by the company, a proposed rights issue for shareholders, and a personal pledge by its promoter to finance his participation in that issue. The sequence is unfolding against a sharp loss of electric two-wheeler share and a lower revenue base.

A market that has grown around Ola

Ola Electric’s share of India’s electric two-wheeler registrations was reported at 36.7% in 2024 and 16.1% in 2025. The comparison needs a time-period label: these are annual market-share figures, while the latest figures are monthly or half-year snapshots. VAHAN data compiled by Nuvama and reported by Autocar Professional put Ola at 7.7% for April–September 2026 and 6.6% in September alone, when its 13,449 registrations were down 4% from August. The wider market grew 12% month-on-month to 2,03,411 registrations that month.

The contrast is not simply a shrinking market: India recorded 11,08,606 electric two-wheeler registrations in April–September 2026, up 73% year-on-year. Ola’s registrations over the same six months fell 23% to 85,634. TVS and Bajaj together accounted for nearly 49% of first-half registrations, compared with about 42% a year earlier. These figures describe registrations, not wholesale dispatches or revenue market share.

Revenue fell; sequential deliveries recovered

For Q1 FY27, the quarter ended June 30, Ola reported revenue from operations of ₹455 crore, 45% lower than ₹828 crore a year earlier. Consolidated net loss narrowed to ₹336 crore from ₹428 crore. Vehicle deliveries were 39,192, down from 68,192 a year earlier but almost double the 20,256 delivered in Q4 FY26. The quarter therefore combined a year-on-year contraction with a sequential rebound from a lower base.

Three capital moves, different purposes

In June, Ola Electric completed a qualified institutional placement (QIP), allotting 21.8 crore shares at ₹35.86 each and raising about ₹780 crore. A QIP sells new shares to eligible institutional investors; it is distinct from borrowing and can dilute existing shareholders.

On September 28, the board approved a rights issue of up to ₹1,000 crore. The draft offer documents allocate about ₹350 crore for debt repayment and ₹400 crore for organic growth; the balance is for general corporate purposes. Approval sets a fundraising ceiling, not a guarantee that the full amount has already been received. Detailed issue terms are subject to company disclosures.

On October 5, the company disclosed that Bhavish Aggarwal had pledged 20 crore shares, about 4.32% of Ola Electric, against non-convertible debentures issued by Krutrim Data Centre Pvt Ltd. Ola said proceeds would fund his subscription to the rights issue, that no shares were being sold, and that there were no other current pledges on his securities. This is a promoter-level financing arrangement, separate from the company’s QIP and proposed rights proceeds.

The new pledge follows a different transaction in December 2025: Aggarwal repaid a ₹260 crore promoter-level loan, after which previously pledged shares representing 3.93% of Ola Electric were released. Business Standard reported that the repayment followed a limited sale of personal shares. The current filings do not describe the new pledge as a sale of Ola shares.

The operating test: turning capital into deliveries

The next measure is execution. The S1 Z was announced in November 2024 with an initial May 2025 delivery expectation. Ola’s current product page lists delivery in December 2026 for the 3.1 kWh version and March 2027 for the 5.1 kWh version. The timeline and specifications have evolved, so these current dates are best treated as the company’s present guidance, not completed deliveries.

The picture is mixed but measurable: market-wide electric two-wheeler registrations are expanding; Ola’s recent share is a fraction of its earlier annual position; Q1 revenue declined year-on-year while losses narrowed and deliveries rose sequentially; and the company is seeking fresh equity. Whether that capital supports a durable recovery will become clearer through registrations, revenues, cash use, debt reduction and product delivery over coming quarters.
